Legal Business Partner F/M/X

He/She will manage any kind of legal matters (legal, litigations, antitrust, environmental, contractual, compliance or ESG related, judicial) within CCB, either directly or through retained external advisors, in close coordination with Corporate and the rest of the Group and providing continued legal advice with respect to the daily business to the senior management of the companies within the Region.
Your Responsibilities
- Proactively addressing each and every legal matter referred to you, according to the Group policies and procedures, and submitting any related advice, opinion, or recommendation to the senior management;
- Reviewing and/or drafting contracts, agreements, whether preliminary or binding, deeds or letters or any other legal instrument to be made in the name of the Company, to ensure the protection of their rights, also versus any third parties;
- Managing any legal or administrative matters or judicial proceedings initiated by or against the Company, ensuring that the appropriate legal actions are taken to safeguard their rights and achieve their objectives, in coordination with the concerned departments, with Corporate and the rest of the Group;
- Taking care of any activities required at the level of CCB perimeter to consolidate legal records or information of Group subsidiaries (i.e., AP France and AP Belgium);
- Doing whatever is legally required to ensure full compliance with the applicable laws, regulations, resolutions, requirements, or contracts, and to safeguard the concerned company’s rights;
- Acting as company secretary for Board of Directors, Ordinary General Assembly, and Extraordinary General Assembly meetings, drafting minutes thereof and taking care of discharging any related formalities with the offices of the competent authorities;
- Managing company litigations in coordination with external lawyers;
- Representing the concerned companies in legal proceedings and litigations before courts and authorities;
- Interacting with the concerned companies’ departments regarding any of the foregoing activities;
- Monitoring any evolution of the regulations and requirements applicable to the concerned companies;
- Regularly reporting on your activities, including the status of main legal issues and judicial proceedings;
- Coordinating with the Group General Counsel for the main legal affairs involving the concerned companies and for all those concerning the rest of the Group;
- Coordinating with the senior management of the concerned companies for their legal affairs;
- Building relations with and representing the concerned companies before governmental and other public authorities;
- Carrying out any other job instrumental or accessory to otherwise pursue your job duties, without exceeding the limits of any entrusted power of authority.
Requirements
- 10+ years in the legal field, serving as in-house counsel in industrial & commercial companies within international groups or with international exposure;Â
- Specialty or proven experience in Commercial Law, Competition Law, Labor Law, Administrative Law (preferably related to environmental and/or mining legislation);Â
- Business oriented, with a natural inclination to manage legal matters hands-on and with a "can do" approach;Â
- Strong business understanding and a result and solution-oriented approach;Â
- Effective negotiating skills and the ability to be persuasive and relentless in pursuing the best interests of the concerned company;Â
- Strong networking skills and the ability to build positive, long-lasting relations with all governmental and public authorities and all stakeholders.Â
- Degree in Law and admission to the national Bar as a legal practitioner;Â
- Strong verbal & written communication skills in French, English, and Dutch are mandatory. Italian, Turkish, or Danish is a plus.
